- Panamanian corporations are
NOT subject to income tax from income
earned outside Panama. This pertains to
profit from the trading of currency, precious metals, securities and
notes.
- Shield assets from a lack
of proper due process and from frivolous lawsuits, and unconstitutional
confiscation. In fact, a lawsuit must be litigated again in Panama.
- A Panamanian corporation costs around $850. Expect to pay about
$400 in annual registered agent fees
- Bearer shares are permissible. A bearer share is like a dollar
bill. The person holding possession is in control. Transfer
the corporation by transferring handing over the bearer shares of the
Panamanian corporation.
- Name of the corporation: Insurance, Trust, Bank and Foundation
are not permitted in the name of the corporation.
- Inc., Corp., Incorporation and Corp. is permitted in the name.
- English names are permitted.

Software, Technology, Source, Venture, Service, Holding(s), Enterprises,
Continental, Associates, Advisors, Investment Group, Partners, Shipping,
Online, Marketing, Industrial, Development, North American, South American,
Latin, Latin American, European, UK, Worldwide, International
Words you
cannot use for a Panamanian corporation:
Limited or LTD. This is
so the company is not confused as an LLC. In addition, you can't have
a name that portrays a licensed industry (Casino, Bank, Finance, Assurance,
Insurance, Trustee, Cooperative, Credit Union, as some examples.
- Corporations are formed with Directors, President, Secretary and
Treasurer.
- Nominee Directors and Nominee Officers are common.
- You attorney, and his/her partners, will form the entity. At
least two persons are necessary to form the corporation.
- Once the corporation is formed, your attorney(s) are on record as the
person(s) who formed the corporation. Anyone can ask who are the
directors and this is openly available. Nominee Directors can be
changed at any time.
- The corporation must issue shares to these two people. The
shares are then assigned in bearer form, or to you directly.
- Your attorney is required to have your real contact information and a
copy of your passport.
- The power of attorney is provided by the two persons listed in the
articles, so you can open accounts and sign contracts.

PANAMA BUSINESS TIP
#1: When paying out a substantial expense, take close notice
of the entity described on the receipt. You want it to be the
person with which you're doing business in Panama; not some corporation
in the Bahamas. This may be okay; however, if you trust the person
with which you are doing business. All income generated outside
Panama is tax free.
PANAMA BUSINESS TIP #2: Once
you find a reliable attorney in Panama, ask for a reliable real estate
broker, banker, or anything else you may need. People are careful
only to send their clients to reliable and trusted contacts.
You'll be rarely disappointed. There's no BBB in Panama that we
know of. Personal relationships and trust mean everything.
PANAMA BUSINESS
TIP #3: Don't criticize openly. Resentments run deep
when you embarrass people in Latin America. They hold grudges.
Loyalty is a big issue in social and business. In the U.S., criticism is taken with a
grain of salt and people usually get over it in business. In
contrast, Latin American business deals with much more ego. Bruise
an ego and you're headed for trouble.

Personal attention and care means a great deal. Show unconditional
positive regard and enthusiasm. Follow up after the sale.
The personal touch, relationships, loyalty and trust mean much more in
Latin America business.

BUSINESS TIP #5:
Generosity goes a long way,
especially if you're a foreigner in Panama. Sharing expendable
resources tears down impersonal barriers and creates good will.
The dividends will be repaid many times over with helpful suggestions
and people will look out for you.
